PUBLIC OFFER (TERMS OF SERVICE) for access to the TurboProxy software

This Public Offer (the “Offer” or “Agreement”) is an official offer of Sole Proprietor (FOP) Dudka Oleksii Mykolaiovych (the “Provider”) to enter into an agreement for software access services with any legally capable individual or legal entity (the “User” or “Client”) that accepts the terms of this Agreement. This Agreement is a public agreement under Article 633 of the Civil Code of Ukraine and is concluded in electronic form pursuant to Articles 205, 207, 639, 641–642 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”. If you do not agree with these terms, do not use the Website and do not place an order or make a payment. 1. DEFINITIONS 1.1. “Website” means TurboProxy.store, including all pages, subdomains, user dashboard, payment interfaces, and help materials. 1.2. “Visitor” means a person who browses the Website without accepting the Offer and without becoming a Client. 1.3. “User/Client” means a person who has accepted the Offer and/or paid for a plan and received access to the Service. 1.4. “Service” means providing the Client with access to the Provider’s software/infrastructure (the “Software”) enabling indirect network requests to other Internet resources (proxy access) within the selected plan and technical limits. 1.5. “Plan” means a set of Service conditions (term, price, limits, features) published on the Website. 1.6. “Order” means selecting a plan and initiating the Service via the Website interface. 1.7. “Traffic” means the amount of data transmitted/received when using the Service, as measured by the Provider’s system. 2. ACCEPTANCE (HOW THE AGREEMENT IS FORMED) 2.1. The Agreement is deemed concluded at the moment the User accepts the Offer. 2.2. Acceptance includes any of the following actions: (a) checking a box/clicking “I agree” (or similar) during registration or checkout; (b) making a payment for a plan; (c) actual use of issued credentials (keys, logins, tokens, endpoints). 2.3. Acceptance means full and unconditional consent to all terms of this Agreement without exceptions. 2.4. If the User acts on behalf of a legal entity, the User confirms they have the required authority. 3. SUBJECT OF THE AGREEMENT 3.1. The Provider grants the Client access to the Service (proxy access) under the selected Plan, and the Client undertakes to pay for the Service and comply with this Agreement. 3.2. The Service is provided remotely, electronically, without transferring ownership rights to the Software. 3.3. Provider’s business activity: KVED 63.11 “Data processing, hosting and related activities”. 4. SERVICE DELIVERY 4.1. The Client selects a Plan on the Website and places an Order. 4.2. Access is activated automatically after payment confirmation by the payment system/bank and/or after registration completion (for the trial). 4.3. If automatic activation is temporarily unavailable for technical reasons, the Provider will activate access within up to 24 (twenty-four) hours after payment confirmation. 4.4. The Service is provided within the term, limits, and features of the selected Plan as published on the Website. 4.5. The Client is responsible for configuring their own software/devices to use the Service. 5. FEES AND PAYMENTS 5.1. Service fees and usage term are defined by the Plans published on the Website at the time of payment. 5.2. If prices are displayed in USD for convenience, payment is made in UAH using the National Bank of Ukraine exchange rate on the payment date, unless the payment interface provides otherwise. 5.3. Payment is made as a 100% prepayment via the payment methods/acquiring available on the Website. 5.4. Proof of payment is the transaction status in the payment system/bank and/or an electronic receipt issued by the payment provider. 5.5. Any bank/payment provider fees (if applicable) are paid by the Client unless explicitly stated otherwise on the Website. 6. TRIAL ACCESS 6.1. After registration, the Client may receive an automatic free trial in the amount of 1 GB of Traffic with no time limitation (if this option is enabled on the Website). 6.2. Trial access is provided solely for evaluation. The Provider may change the trial terms or discontinue the trial at any time. 6.3. The Provider may limit trial access (including the number of accounts) to prevent abuse. 7. RIGHTS AND OBLIGATIONS 7.1. The Provider may: (a) receive payment for the Service; (b) change Plans and Website functionality; (c) temporarily restrict/block access in case of Agreement breach, abuse, or security threats; (d) suspend the Service for planned/emergency maintenance. 7.2. The Provider must: (a) provide the Service according to the selected Plan; (b) process personal data in accordance with the Privacy Policy and Ukrainian law; (c) provide support within the scope stated on the Website and/or in this Agreement. 7.3. The Client may: (a) receive the Service under the Plan; (b) contact support; (c) request recalculation/compensation as provided by this Agreement. 7.4. The Client must: (a) pay for the Service; (b) comply with this Agreement and applicable law; (c) not use the Service for prohibited purposes (Section 8); (d) keep credentials confidential; (e) ensure Internet connectivity and compatibility of the Client’s own software/equipment. 8. PROHIBITED USE (ACCEPTABLE USE POLICY) 8.1. The Client must not use the Service for any activity that violates the laws of Ukraine, international law, or third-party rights. 8.2. Prohibited activities include (non-exhaustive): 8.2.1. spam (email, messengers, forms, comments) and unauthorized bulk messaging; 8.2.2. brute-force/credential stuffing, password guessing, vulnerability scanning without proper authorization; 8.2.3. phishing, carding, fraud, data theft, page impersonation; 8.2.4. DDoS/DoS, intentional overload of services, interference with networks/systems; 8.2.5. distribution of malware (viruses, trojans, botnets) or exploits; 8.2.6. unauthorized access to third-party accounts/systems/resources; 8.2.7. distribution of pornography, sexual violence materials, or child exploitation content; 8.2.8. calls to violence/terrorism, hate speech, incitement of hostility; 8.2.9. infringement of intellectual property rights. 8.3. Sanctions and territorial restrictions: The Service is not provided to persons located in the Russian Federation or the Republic of Belarus, and to persons/entities subject to sanctions under Ukrainian law and/or applicable international restrictions. The Provider may apply technical and organizational measures to enforce such restrictions. 8.4. In case of breach of this Section, the Provider may immediately restrict or terminate access. Disclosure of information to competent authorities is made only upon a lawful request/official demand as required by law. 9. SUPPORT, AVAILABILITY AND COMPENSATION (SLA) 9.1. Support channel: support@turboproxy.store. Additional channels may be listed on the Website. 9.2. Indicative support hours: 10:00–17:00 Kyiv time on business days, unless stated otherwise on the Website. Standard response time is up to 24 hours. 9.3. If the Service is fully unavailable due to the Provider’s fault for more than a total of 24 hours within a calendar month, the Provider will compensate by extending the subscription term by the confirmed downtime. 9.4. No compensation is provided if unavailability is caused by force majeure (Section 12), third-party providers/infrastructure, the Client’s actions, or access restriction due to Agreement breach. 10. REFUNDS AND CANCELLATION 10.1. Refund requests must be sent to support@turboproxy.store with a description of the issue and payment details. 10.2. Refunds may be granted if: (a) the Service was not provided after payment confirmation within the timeframe set by this Agreement; (b) the Service had material defects attributable to the Provider and such defects were not remedied within a reasonable time. 10.3. If access was provided and the Client started using the Service, a refund is made pro rata to the unused Plan term (or unused volume if the Plan is traffic-based), less any payment provider/bank fees actually incurred (if any). 10.4. No refunds are provided if: (a) access was restricted/terminated due to breach of Section 8; (b) the issue is caused by the Client’s software/equipment or third-party services; (c) the Client shared credentials with third parties or allowed credential compromise. 10.5. Refund timelines depend on the bank/payment provider and typically take up to 14 business days from the refund decision date. 11. INTELLECTUAL PROPERTY AND LICENSE 11.1. The Software, Website, design, texts, databases and other materials are intellectual property of the Provider and/or respective rightsholders. 11.2. For the paid Plan term, the Provider grants the Client a non-exclusive, non-transferable, revocable license to use the Service functionality solely to receive the Service. 11.3. The Client must not: (a) decompile/reverse engineer the Software (except where expressly permitted by law); (b) resell or grant access to third parties unless allowed by the Plan; (c) bypass technical limitations or quotas. 12. FORCE MAJEURE 12.1. The Parties are released from liability for failure or improper performance caused by force majeure events, including war/hostilities, terrorist acts, blockades, fires, floods, earthquakes, large-scale power outages, cyberattacks, governmental actions preventing performance, etc. 12.2. The affected Party shall notify the other Party within a reasonable time. 12.3. If required, force majeure may be evidenced by a document from a competent authority (including the Ukrainian Chamber of Commerce and Industry or a regional CCI). 13. PERSONAL DATA AND PRIVACY 13.1. Personal data is processed in accordance with the Law of Ukraine “On Personal Data Protection” and the Privacy Policy published on the Website. 13.2. By using the Website/Service, the Client confirms they have read the Privacy Policy and consent to personal data processing necessary for providing the Service, payments, support communications, and abuse prevention. 13.3. The Provider may engage contractors (hosting, payment providers) as data processors to the extent necessary. 14. TERM, CHANGES AND TERMINATION 14.1. The Agreement is effective from acceptance and for the duration of the selected Plan; certain provisions survive until obligations are fully settled. 14.2. The Provider may change this Agreement by publishing an updated version on the Website. The updated version takes effect upon publication unless stated otherwise. 14.3. The Provider may restrict/terminate access in cases provided by this Agreement, including breach of Section 8. 15. LIMITATION OF LIABILITY 15.1. The Service is provided “as is” (“as available”) given the technical nature of the Internet. 15.2. The Provider is not responsible for: (a) third-party Internet segments/services; (b) Client losses caused by unlawful use of the Service; (c) credential compromise due to the Client; (d) compatibility outside standard requirements. 15.3. To the maximum extent permitted by law, the Provider’s total liability is limited to the amount actually paid by the Client for the relevant Plan/period giving rise to the claim. 16. GOVERNING LAW AND DISPUTE RESOLUTION 16.1. This Agreement is governed by the laws of Ukraine. 16.2. Disputes are resolved by negotiations and a pre-claim procedure (contacting support@turboproxy.store). 16.3. If not settled, disputes are subject to Ukrainian courts in accordance with applicable rules of jurisdiction, taking into account consumer rights where applicable. 17. LANGUAGES 17.1. The Agreement may be available in Ukrainian, Russian, and English. In case of discrepancies, the Ukrainian version prevails. 18.
